When someone buys your franchise, what are they really paying for? Your recipes and systems matter, but the heart of the deal is the right to use your brand. If you do not legally own that brand, you have nothing to franchise.
Registration with DTI or SEC is not trademark ownership
Your DTI business name or SEC registration lets you operate. It does not give you exclusive rights to your brand name or logo. In the Philippines, that protection comes from trademark registration with the Intellectual Property Office of the Philippines (IPOPHL).
Why franchisors must register first
You can only license what you own. A franchise agreement grants the franchisee a license to use your marks. Without registration, that license stands on weak ground.
Someone else may file first. The Philippines generally follows a first-to-file system. We have seen businesses discover, after years of operation, that someone else had registered their name.
Investors check. Serious franchisees and their lawyers ask for your trademark registration before they sign.
Trademark basics checklist
Search first. Use IPOPHL’s online trademark search to check for similar marks in your class of goods or services.
File early. File for your word mark and your logo, in the classes that match your products and services (for example food service and food products).
Watch your deadlines. Respond to IPOPHL office actions on time and keep up with required filings so your registration stays valid.
Register in the franchisor’s name. The mark should be owned by the entity that signs franchise agreements, or properly licensed to it.
Spell out usage in the franchise agreement and brand manual. Define how franchisees may use the marks, signage standards, and what happens to the signage when the agreement ends.
Common mistakes we see
Changing the logo after filing without updating the application.
Letting a franchisee or a relative register the brand “for convenience.”
Using a name that is too generic to protect.
The bottom line
Before you print your first franchise brochure, make sure the brand is truly yours. For filing itself, work with a qualified IP lawyer or agent; for building the franchise system around your brand, GMB Franchise Developers has guided Filipino businesses since 1993.
