Lessons From Franchise Disputes: 5 Conflicts Franchisors Can Prevent Before They Start - Coach Butz Bartolome, The Franguru

Most franchise disputes do not begin with bad intentions. They begin with unclear expectations. In over three decades of working with franchisors and franchisees, GMB Franchise Developers has seen the same conflicts come up again and again, and almost all of them could have been prevented.

1. “You never told me the real investment.”

What happens: The franchisee’s actual spend is far above the brochure figure because of fit-out, deposits or working capital.
Prevention: Present a full investment breakdown, including working capital for the first months, and put it in writing.

2. Late or disputed royalty payments

What happens: Royalties are computed on “sales,” but the parties disagree on what counts as sales (VAT? delivery app commissions? discounts?).
Prevention: Define the royalty base precisely in the agreement, with payment dates, method and penalties. (See our article on royalty and fee collections.)

3. Territory overlap

What happens: A new branch opens close to an existing one and sales drop.
Prevention: Define territory or the absence of exclusivity clearly, with maps or radius, and consult existing franchisees before approving nearby sites.

4. Supply and quality complaints

What happens: Franchisees buy cheaper outside supplies; the franchisor sees quality drop and the franchisee sees overpriced commissary goods.
Prevention: List required supplies and the reason, review supply pricing regularly, and run fair, scheduled quality audits.

5. Ending the relationship

What happens: At expiry or termination, there is confusion over signage, equipment, remaining stock and whether the franchisee can open a similar business.
Prevention: Spell out exit procedures, de-branding, and any non-compete terms, and explain them before signing.

The common thread

Every one of these disputes traces back to something not written, not explained, or not followed up. That is why we always tell clients: explain the franchise agreement to your franchisee before they sign, and keep communication open after.

When a dispute does happen

Talk early, document everything, refer to the agreement, and consider mediation before litigation. For legal questions, consult a lawyer.
